Position Structure

Summary of Job Responsibility

Corporate Affairs Assistant Section Manager reporting to Corporate Affairs Section Manager and has primary responsibility to support Section Manager for operating the role and function of the section as follows:

Corporate Governance & Compliance: to ensure that the good corporate governance and compliance is adhered by all function within organization. Also, to ensure that pro-active approach is adapted with regard to changes in circumstances due to changes in regulation and/or stakeholder perspective that may significantly affect Company’s business sustainability.

Corporate Legal: to ensure the Company in good standing and fulfills all obligations pursuant to the Law & Regulations and other requirements of the company. Also, to coordinate and ensure the establishment of Legal System to secure the Company interest, advice the Company on matters of law and regulations. Protection of company\\\\\\'s rights and interests and ensuring management of legal and contractual risks

Duties and Responsibilities

 

Corporate Governance & Compliance:

1.     Support Section Manager to coordinate, advice, and ensure that the good corporate governance is adhered effectively by all function within organization.

 

2.     Support Section Manager to develop and maintain procedure / manual / policy related internal control as guideline for conducting good governance and preventing the miss-conduct within company.

 

3.     Support Section Manager to develop and execute compliance promotion activity within company, including to support the activity of Compliance Secretariat.

 

4.     Support Section Manager to prepare and coordinate internal control assessment or audit activity, whether it is initiated by internal or external; including such as annual Control Self-Assessment (CSA) or audit arranged by MCHC or MCC. Also to coordinate to ensure that any deficiencies on internal control as result of assessment or audit activity are followed-up by each responsible section.

 

5.     Support Section Manager to coordinate regular monitoring of Compliance to Regulation and Permit to ensure that Company is complied with applicable regulation and prevent non-compliance situation that may harm the company. Also support to ensure that the non-compliance matters are followed-up by each responsible section

 

6.     Support Section Manager to develop and coordinate corporate compliance training program within company, including but not limited to training provided by parent company.

 

 

7.     Support Section Manager to ensure all functions conduct risk assessment regularly in accordance to relevant procedure, and report the result of risk assessment to ADM & Compliance Director and other member of BOD.

 

 

Corporate Legal:

  1. Support Section Manager to coordinate, and ensure that the company is in good standing and fulfills its obligation pursuant to the Company Acts and other legislation’s regulating the conduct of company by maintain and control the validation of Company Article of Association.

 

  1. Support Section Manager to ensure the effective and efficient management of the Legal functions by review and advise management on legal implications of internal policies and procedures.

 

  1. Support Section Manager to provide support to all sections with provision of legal opinions and/or advisory services and ensuring effective management of legal and contractual risks by liaise with relevant sections to ensure that where legal risks have been identified, appropriate courses of action have been taken.

 

  1. Support Section Manager to control in reviewing all contracts, agreement or any other documentation where the Company has committed itself and assess legal implications such as but not limited with compliance, legal protection and risk management advice on contract management that need to be brought to the management’s attention.

 

  1. Support Section Manager to supervise, maintain, and periodically conduct tracking & reporting of new regulations to ensure the company aware of any changing in regulation requirement.

 

  1. Support Section Manager to continuously monitor compliance with statutory obligations to ensure the compliancy of corporate entity is up-to-date and advise management accordingly.

 

  1. Support Section Manager to control the arrangement of all BOD’s, BOC’s & Shareholder’s meetings and related aspects to ensure the meeting compliance, proper and well organized.

 

  1. Support Section Manager to ensure effective and efficient litigation management by review progress and liaise with/and manage external lawyers.
  2. Support Section Manager to coordinate external lawyer’s activity, for but not limited with prepare legal advices, documents, briefs, pleadings, appeals, contracts, statements etc.

Other  :

  1. Support Section Manager to prepare the annual budget of Corporate Affairs

 

  1. Support Section Manager to develop subordinate’s skill & knowledge by conduct training, mentoring and guiding to subordinates to obtain job improvement.

 

  1. Support Section Manager to Control implementation of QSHE-En Management System in Section activities to achieve suitable Standard of QSHE-En Quality Management.
  2. Perform other jobs assigned by Section Manager and/or Director of ADM & Compliance.
