Position Structure

Summary of Job Responsibility

Finance Manager administers Group Company\'s Treasury and Accounting (including Taxation) if there is a service agreement with such Group Company, subject to the terms and conditions of the agreement. 

In order to support the Company’s operating and project activities such as manufacturing, purchasing, selling, constructing, Finance Manager manages and administers (i) Treasury, (ii) Accounting (including Taxation and Insurance), (iii) Electronic Data Processing, (iv) Planning, (v) Other special missions, in compliance with Company’s policies as well as generally accepted accounting principles and other regulations.

 

Duties and Responsibilities

1.      Supervising and authorizing the payment to vendors, creditors and employees, in order to prevent and, or find dishonesties or mistakes, by checking vouchers and applications, and signing vouchers and applications.

2.      Supervising and authorizing to make deposit at banks, in order to make the best use of funds, by checking the amount and the period and the interest rate, and signing vouchers and applications.

3.      Supervising and authorizing the transfer of money from the bank account to the other bank account or petty cash box, in order to fulfill the duties mentioned in the above No. 1 and No. 2, by checking the purpose and the amount, and signing vouchers and application.

4.      Checking and reviewing the balance of each bank account and petty cash as of the end of the month in order to secure the company\\'s property, by reconciliation with bank\\'s statements.

5.      Making foreign exchange transactions with banks, in order to fulfill the duties mentioned in the above No. 1 and No. 2, by checking internal request form, and having deal with banks through telephone.

6.      Arranging the short-term bank loan, in order to finance the short-term cash shortage, by negotiating and coordinating with banks and finance department of Mitsubishi Chemical Corporation.

7.      Supervising and authorizing the selection of funding period for the short term bank loan, in order to make the best use of funds, by checking the short term payment schedule and quotation of applicable interest rate for each funding period, and signing vouchers and applications.

8.      Arranging and maintaining the interest rate swap.

9.      Supervising and authorizing the operation and implementation of Electronic Banking System.

 

(Accounting (including Taxation and Insurance))

10.  Supervising and coordinating general accounting and cost accounting, in order to know the result of operation and financial position of the company, by utilizing knowledge and skill, and consulting with certified public accountants.

11.  Providing the information of the result of operation and financial position on a timely basis to Company\\'s management and shareholders, for their decision making, by the preparation and the submission of Monthly Report and periodical report on BOC meeting and shareholders\\' meeting and Audit Report.

12.  Monitoring and applying the change or the legislation of generally accepted accounting principle, company laws, tax laws and other regulations in accounting, finance, taxation and related areas, in order to comply with relevant rulings by consulting with certified public accountants, legal counsel, banks and other officials, and checking publications.

13.  Coordinating the internal audit conducted by shareholders, in order to inspect the validity, accuracy, and security of the Company\\'s activities including finance division\\'s activities.

14.  Coordinating the external audit conducted by independent certified public accountants, in order to assure shareholders, creditors of validity and accuracy of Company\\'s financial statements.

15.  Coordinating the tax audit conducted by tax authorities, according to tax regulation.

16.  Assisting Finance Director in negotiating with tax authorities, in order to minimize damage from their claims.

17.  Assisting Finance Director in identifying insurable risks and determining insurance coverage as well as in selecting best insurance companies and in negotiating insurance premium rate with insurance companies, in order to do a risk hedge against serious damage on properties.

18.  Reviewing proposed major transactions in their formative stages and advising or proposing changes to achieve the best tax result, in order to save the tax, by utilizing knowledge, and consulting with tax consultants.

19.  Coordinating the preparation of consolidated reporting package of Mitsubishi Chemical Corporation, in order to comply with Japanese related regulations, by classifying and summarizing the record data in compliance with the guideline indicated by the accounting department of Mitsubishi Chemical Corporation.

20.  Supervising and authorizing the maintenance and the changes of chart of account of the Company, in order to keep the validity and the accuracy of bookkeeping by utilizing knowledge and consulting with certified public accountants.

21.  Proposing and implementing tax strategy, in order to achieve the most favorable taxation situation in compliance with company\\'s policy and tax regulation.

 

(Electronic Data Processing)

22.  Developing and administering and maintaining SAP-R/3 related module as the electronic data processing tool, in order to keep the maintenance of the recorded data and the physical security of the recorded data, and in order to achieve the efficient finance division\\'s work by consulting with SAP team of Mitsubishi Chemical Corporation.

 

(Planning)

23.  Preparing and recommending operational plans and annual budget proposals for the finance division under his charge for Finance Director\\'s approval.

24.  Coordinating and calculating and drawing up the Company\\'s budget in order to materialize the annual target of business, by assisting Finance Director in reviewing departmental budgets submitted to finance division.

25.  Assisting Finance Director in exercising budgetary control, in order to achieve the budgeted target, by providing the result report on a timely basis, and overseeing the implementation of approved budget.

26.  Coordinating and calculating the Company\\'s financial forecast in short term basis and, or middle term basis, for management\\'s decision-making up to management\\'s request, by collecting the necessary information from each department.

27.  Assisting Finance Director in planning for fund raising and in evaluating and, or appraising the financial aspects of proposed acquisitions, investments, or the sale of assets, by calculating the feasibility study and, or cost-benefit study.

(Special Mission)

28.  Performing special missions as assigned by Finance Director.

 

(General Matters)

29.  Ensuring that all activities related to the function of finance division are complied with relevant Acts and legal demands and ethical standards by consulting with Authorities.

30.  Keeping the Finance Director fully informed of all significant matters regarding the function of finance division.

31.  Developing and recommending accounting policies and guidelines procedures throughout the Company.

32.  Planning and recommending the suitable organization of finance division in order to achieve efficient activities.

33.  Planning and recommending an effective system of work of finance division.

34.  Maintaining a professional and team like approach and relationship with other organizational units in the Company.

35.  Maintaining good relationships with external parties including banks, certified public accountants, tax advisors, legal counsels, insurance companies, shareholders, security companies, etc.

36.  Obtaining useful information from external parties.

37.  Performing personnel performance review of direct subordinates.

38.  Developing and amending the job description of finance division.

39.  Developing and amending standard operation procedure (SOP) of Finance division.

40.  Developing the system of keeping documents for Finance division and supervising the implementation of such system.

41.  Supervising the Group Company\\'s Accounting and Treasury, subject to the terms and conditions of service agreement.
